- Tax and tax approved schemes - we advise on all employee tax issues in connection with employee incentive arrangements. In addition, we advise on all aspects of Her Majesty’s Revenue and Customs tax approved share schemes, whether discretionary or all employee, with a particular emphasis on the Enterprise Management Scheme aimed at SMEs
- Design - we design commercial solutions tailored to suit the company’s structure, business and objectives. Wherever possible we focus on tax efficient solutions for both the company and the employee
- Implementation – we produce all documentation relating to incentive arrangements including user friendly employee communication materials and are happy to participate in any employee presentations relating to the roll-out of schemes to employees. We will also liaise with Her Majesty’s Revenue and Customs, in order to obtain appropriate clearances relating to tax-approved schemes, where necessary
- Financial issues – we advise you on optimising the P&L, balance sheet and cashflow aspects of share based incentive arrangements. This includes, accounting for share schemes and employee benefit trusts, the sourcing of shares (new-issue or market purchase), funding issues, corporate tax relief and where applicable the application of “transfer pricing” rules
- Transactions – we advise on the impact of corporate transactions and restructurings on employee incentive arrangements for employee shareholders and the company. This includes advice relating to preservation of any corporate tax relief for existing employee share incentives, that could be lost as a result of the transaction or restructuring
- Corporate governance – we advise on corporate governance regulations and best practise, as well as directors disclosure obligation requirements arising in connection with employee share based incentive arrangements
- International – Employee share incentive arrangements are increasingly becoming international. We advise on offerings to UK employees from companies in many overseas countries, particularly the US and France. For UK companies wishing to extend employee share ownership to employees of their overseas subsidiaries we can call on assistance from associated offices around the world, through the HLB International network
